Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "Client," or "you") and Blue Signal LLC, a Florida limited liability company ("Blue Signal," "Company," "we," or "us"), operator of Base Coaching, accessible at basecoach.fit ("Platform"). Blue Signal LLC operates Base Coaching as one of its commercial products. For more information about Blue Signal LLC, visit bluesignalllc.com.

You must be at least 18 years of age to use this Platform. By using the Platform, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

THE COACHING SERVICES, NUTRITION GUIDANCE, FITNESS PROGRAMMING, AND ALL CONTENT PROVIDED THROUGH BASE COACHING ARE FOR GENERAL WELLNESS AND INFORMATIONAL PURPOSES ONLY. NOTHING ON THIS PLATFORM CONSTITUTES MEDICAL ADVICE, MEDICAL DIAGNOSIS, MEDICAL TREATMENT, OR A SUBSTITUTE FOR PROFESSIONAL MEDICAL CONSULTATION.

You acknowledge that: (a) participation in any diet or exercise program carries inherent risk of physical injury; (b) you have consulted or will consult a qualified, licensed physician prior to beginning any fitness or nutrition program; (c) you are voluntarily participating in coaching services and assume all risk of injury or adverse health effects; and (d) Blue Signal LLC and its coaches are not licensed medical professionals.

Base Coaching provides online strength, conditioning, and nutrition coaching services. The scope of services available to you is determined by the package you have purchased, as outlined at the time of enrollment. Blue Signal LLC reserves the right to modify service offerings at any time with reasonable notice.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account. Blue Signal LLC is not liable for any loss resulting from unauthorized account access caused by your failure to safeguard your credentials.

6.1 Coaching packages are billed on a recurring monthly basis beginning on the enrollment date.

6.2 All fees are due in advance of the service period to which they apply.

6.3 You authorize Blue Signal LLC to charge your designated payment method for all applicable fees.

6.4 All sales are final. Blue Signal LLC does not issue refunds for any monthly period already billed, whether or not services were fully utilized during that period.

7.1 You may cancel your coaching subscription at any time by providing written notice to aj@basecoaching.com.

7.2 Cancellations must be received no fewer than seven (7) calendar days prior to the next scheduled billing date to avoid being charged for the following month.

7.3 Upon cancellation, your access to the Platform will remain active through the end of the current paid period.

All content on the Platform, including but not limited to programming, nutrition plans, software, text, graphics, logos, and user interface elements, is the exclusive property of Blue Signal LLC or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of any Platform content without the prior written consent of Blue Signal LLC.

You agree not to: (a) use the Platform for any unlawful purpose; (b) share your account credentials with any third party; (c) reverse engineer, decompile, or attempt to extract the source code of the Platform; (d) upload or transmit any malicious code or interfere with the operation of the Platform; or (e) use the Platform in any manner that could damage, disable, or impair its functionality.

THE PLATFORM AND ALL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. BLUE SIGNAL LLC DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. NO GUARANTEE OF SPECIFIC RESULTS, INCLUDING BUT NOT LIMITED TO WEIGHT LOSS, ATHLETIC PERFORMANCE, OR HEALTH IMPROVEMENT, IS MADE OR IMPLIED.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BLUE SIGNAL LLC, ITS MEMBERS, OFFICERS, EMPLOYEES, AGENTS, COACHES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO PERSONAL INJURY, PROPERTY DAMAGE, LOST PROFITS, OR DATA LOSS, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM OR PARTICIPATION IN ANY COACHING PROGRAM, EVEN IF BLUE SIGNAL LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL BLUE SIGNAL LLC'S TOTAL LIABILITY TO YOU EXCEED THE TOTAL AMOUNT PAID BY YOU TO BLUE SIGNAL LLC IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless Blue Signal LLC, its members, officers, employees, agents, and coaches from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your use of the Platform, your violation of these Terms, or your violation of any third-party rights.

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any dispute arising under these Terms shall first be submitted to good-faith mediation. If mediation fails, disputes shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Florida. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Blue Signal LLC reserves the right to modify these Terms at any time. Material changes will be communicated via email or Platform notification at least fourteen (14) days prior to taking effect. Continued use of the Platform following notice of changes constitutes acceptance of the revised Terms.

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Blue Signal LLC with respect to the Platform and supersede all prior agreements, representations, and understandings.
